Employer Partner Logo License Terms
License
The employer (hereafter referred to as “You”) hereby grants Champlain College (hereafter referred to as “College”) a non-exclusive, royalty-free, worldwide license to use, reproduce, and display Your company logo (hereafter referred to as “Logo”) to be used and displayed in connection with the College’s Career Collaborative programs aimed at fostering recruitment, marketing and promotion of the College’s employer partnerships and connecting those employers with the College’s students, prospective students, families and other constituencies.
Permitted Uses
The College may use the Logo in various formats across multiple marketing channels, including but not limited to:
- College websites and landing pages
- Printed materials, such as brochures, flyers, and posters
- Digital advertisements, including social media, email campaigns, and online banners
- Presentations, reports, and informational materials shared with prospective students and stakeholders
- Videos or other multimedia content
Modification of Logo
The College agrees not to alter the Logo’s design, colors, or proportions without Your prior written consent, except for minor adjustments necessary to fit the design requirements of the materials. Such adjustments may include resizing the Logo or converting it to grayscale/black and white if necessary because the use does not permit display of colors.
The College agrees to use the Logo only in connection with the College’s well-regarded post-secondary educational activities as described above. You have the right to inspect the College’s use of the Logo at any time to assure yourself that the use meets your quality standards.
Duration of Use and Termination of License Agreement
The College is permitted to use the Logo until you terminate this License. You have the right to terminate this License at any time with 30 days written notice. Upon receiving such notice, the College agrees to cease using the Logo in new print materials and to remove it from digital platforms where feasible. The College may continue to use existing printed materials until the supply is exhausted.
Ownership
You retain full ownership and all intellectual property rights to the Logo. This agreement does not transfer any ownership rights to the College. All use of your Logo will adhere to the benefit of your trademark rights.
Warranty; Indemnification
You represent and warrant you have all necessary rights in and to your Logo to grant this license to the College. You agree to indemnify, defend and hold the College harmless from any claims, damages, or liabilities arising from the use of the Logo as permitted under this agreement, provided the College adheres to the terms set forth herein.
Governing Law
This agreement shall be governed by and construed in accordance with the laws of the State of Vermont.
Acceptance
By submitting the Logo and checking the acknowledgement box on the submission form, You agree to the terms outlined above and authorize the College to use the Logo as specified and that such terms constitute a binding agreement between you and the College.
